Offer check - Securities Counsel at a pubco. $220k + 20% cash bonus + $45k in stock with a 33% vest over 3 years (refreshes annually).

Current salary (same role at a different pubco) is $225k + 20% cash bonus (no equity).

Both companies' stocks have not performed that great (both down substantially) over the last few years, if that means anything. Anything to try negotiating?

This is roughly what I got 5 years ago for similar position and 3 yrs experience. I would push for a much higher initial stock grant (and $45k refresh ongoing needs to be increased but that’s a future convo). I’d ask for at least $100k initial grant, and $250k base. You didn’t provide location, so I can’t tell if HCOL or not. If it’s HCOL, I’d push for even higher base. Good luck to you.

I just went through this at 7 YOE for a litigation position. VHCOL. $285 base, 20% bonus, $210k RSUs over four years. I think you should try for more base but at minimum more RSUs if they’re not willing to move much on base

Not FAANG, but its very niche IP litigation. Fully remote too, which is right up my alley

This seems very similar to what my company would offer.

Seems low. I was 250 plus 25% at a private small co. Only had 6% on back end.

Seems a bit low to me too

Is anyone else convinced we are headed for a correction in equities, and quickly? The market has been straight up for months, with the exception of a blip around GME week. Seems like everyone is day trading, too, which I take as a sign of froth. I know market timing is typically a bad idea, but talk me out of moving to cash for a few weeks until things get cheap(er).

Additional Posts in In-House Counsel

Have interviews set up at FAANG co and getting good signals, for a position that was posted widely (all across US) but not remote. Haven’t broached the subject of location yet. Would you (1) early on clearly state that you’re not open to relocation but that you would be open to visiting a big office once or twice a month; (2) not say anything now and wait to get an offer and ask for an exemption; or (3) something else?

Hello, hoping for some input on how to time a job change. At a startup - we are doing well now but unless we have complete turnover in management I don’t think we have a bright future post-COVID. I could coast here 1-2 years before having to look. I’ve been here for a little under a year. This is my second in house job after 10 years at the same firm. The market is hot now, probably won’t be in 1-2 years and I am getting interest for good roles. OTOH I don’t want to look like a job hopper.

How far do you require depts be with negotiating commercial contract terms before your legal review? I’m talking routine low value and risk contracts (e.g., vendor services), where Legal terms won’t kill the deal. My clients blindly forward contracts. I’m in-house at a small company (60 people), started right out of law school about 5 years ago. We had a legal team of 5 then. Everyone has left and we just hired a new GC. I went from $70k to $100k a little over a year ago. I am expecting an offer from a firm doing business law work but think this might be an opportunity to go to my current employer and ask for a significant raise, with new offer in hand.
