Can anyone help me wrap my head around this post Series C start-up equity offer? It’s an IP director position, the the base is $170 with 10% bonus (both lower than I was expecting). There’s also an equity component: 0.15% of current fully diluted equity. This equates to about 30000 shares at a strike price of $2. They also indicate the preferred stock price is $6 and preferred stock equity is $188k (whatever that means). They are in the middle of a new financing and valuation round.

What would be a typical salary for a junior in house counsel role (3 yoe) at a publicly traded company in a secondary market (think Austin, Tampa, Charlotte)? I’m having a really hard time finding what a reasonable range would be. Most positions I’m applying to require desired salary in the application, and the truth is I’d accept anything north of 125k but don’t want to undersell myself and take a bigger cut than necessary coming from biglaw.

How long did your in-house job give you before you had to start? Was able to take 6 weeks in-between both big law jobs but I don’t think that’s the norm or acceptable for in-house. Thoughts?

I’m talking routine low value and risk contracts (e.g., vendor services), where Legal terms won’t kill the deal. My clients blindly forward contracts. They like “home grown” talent and I “be worked hard and risen relatively quickly (AGC in 9 years). I work hard and get a lot of complicated deals done (structured products and private funds). I can’t shake certain people (in compliance department mainly) thinking I don’t have enough experience to do what I do because I didn’t come from a law firm. Any advice?
