Depends if it’s on my paper or not. If the latter, I shoot for 7 days max, including time to get stakeholder input. If it goes past that, I ensure it’s because theres a stakeholder who’s tardy (and received 2-3 follow ups and CC’d their boss, and CC’d Sales).

If it’s one of those regulated entities behemoth MSA’s, that might take 2-3 weeks. But that’s because there’s 15-20 escalations and I’m making Sales/Procurement do the heavy lifting on follow-up with stakeholders.

If you’re on the procurement side and you’re working with more mature vendors, you can streamline this by: 1) using the vendor’s terms but ask them for their “good contract” (where you don’t need to redline in a mutual LoL); 2) sending some bulletpoints of concerns and asking how they address them

depends on how sophisticated the opposing counter party is. many commercial counsel attorneys believe that “we service a multi tenant saas solution” is a sufficient and only comment to all redlines

How does your company manage (track) all of the documents related to a merger you are working on? Are you using a matter management software, a spreadsheet, shared file, etc? Keeping up with the moving pieces is killing me with just a spreadsheet.

Outside counsel has been prepping company witnesses for a trial in August. It is my subject area so I am supervising outside counsel. I did not, however, choose the counsel. He is doing a really awful job. Co counsel is better, but not great either. Higher ups love the firm… I do not want to micromanage, but I have genuine concerns about outside counsel’s ability to try this case. Trials are rare, and I just don’t think these guys have actually tried many cases. Cont. below…

I’m in big law and on the cusp of making the jump to in-house. It sounds like the company I just interviewed with is getting ready to make me an offer. It’s definitely going to be a pay cut coming from big law but I do get some nice equity in the company. Is the jump worth it? I’m so burnt out by big law and this seems like an awesome opportunity to help shape a newish company. Any tips on how to figure out if this is the right move for me?

Would love some advice / thoughts. I went straight from law school to a corporate legal department in house for an asset manager. They like “home grown” talent and I “be worked hard and risen relatively quickly (AGC in 9 years). I work hard and get a lot of complicated deals done (structured products and private funds).
