People who don’t submit their time daily, how do you remember what you did and for how long? I’ve always just submitted each timer as soon as I finish a task—“call with x re y” really doesn’t take that long even if I’m busy, and if I don’t do it immediately I’ll forget all those little I did in the morning by the time I go to bed. No shade at all to those with different systems, just genuinely curious because I see a lot about catching up at month end on here and I have no idea how that works??

Very Noob question: First year here that has done DD for a couple of deals representing the seller now. Essentially all I did was note whether certain agreements have change of control provisions, and if so, what the specific language is. I understand what the CoC do, but why am I doing this? Specifically, what does the buyer do with this? It seems like these provisions should trigger but nothing then happens...

Anyone here deal with Phantom Share Agreements? Would that be in the wheelhouse for an ECVC lawyer? My BIL is being offered a job with a company and received a proposed phantom shares agreement. One condition states that he must remain in good standing with the company even after the 3 year vesting period to receive distributions. Is that atypical?

I’m have a new theory about why juniors always feel like idiots and wanted to see if anyone else thinks this makes sense. I’m a third year, and am the most junior person all of my teams (generally me, a senior or two, and a partner or two), and I always feel like I’m messing something up. Is this just because I never get to work with other juniors and don’t see the mistakes they make, and that it’s relatively normal? I’ve been at a job for a few months and hate it - partners set unrealistic deadlines, micromanage, and create work that truly is not necessary/push urgency when there is no real urgency. I had other offers prior to accepting this job that may still be options, and going back to my old job (for a pay cut) might also be an option. I can’t tell if this is just burnout, growing pains, or just an untenable work environment. Would you ride it out for a year at new job or pursue other options? HELP!

Worst luck ever. My group was very slow from Jan through may, so I won’t hit my hours, but am now (and will continue to be) very busy…. About to do 1990 hrs the most painful way possible. Fml.
