I’m evaluating an in-house Export Controls Counsel offer in a HCOL market (fully remote). Base $180k, discretionary bonus target ~10–20%, plus ~$102k RSUs (welcome + refresh). I have ~8 years in export controls/sanctions.

Is the initial rsus over 3 or 4 years? And when do u get the refresh? Starting year 3?

4 years for initial. They do an annual refresh that starts investing after month 3 but can’t pull it out until after year 1.

Base is quite low, but RSUs are solid. There is also a pretty big difference between a 10% and 20% cash bonus (you really should insist on latter).

For 8 YOE, base should be much closer to low or mid 200s.

Fully remote makes this a toss up.

I agree. TBH. The company is known to be a little low on comp but I am also at the end of the pay band for my title. I think I would start going into my supervisor’s pay band otherwise. 😅

I’m in discussions to become the GC of a mid size but international company that does ~$1 billion in annual revenue. Smallish legal department. They’ve asked for my comp expectations. I don’t have specific expectations but I want to be compensated at least market for a NYC based GC (which looks like cash comp of at least $300k plus bonus, etc). Any suggestions on how people would respond?

For in-house counsel roles, does firm prestige matter? For example, would the fact that an applicant is from Sullivan & Cromwell vs, say, White & Case matter at all, or is it much more about experience/interview? Does it matter as much as law school credentials? Assuming a mid-level corporate associate seeking to go in-house.

Outside counsel has been prepping company witnesses for a trial in August. It is my subject area so I am supervising outside counsel. I did not, however, choose the counsel. He is doing a really awful job. Co counsel is better, but not great either. Higher ups love the firm… I do not want to micromanage, but I have genuine concerns about outside counsel’s ability to try this case. Trials are rare, and I just don’t think these guys have actually tried many cases. Cont. below…

Is it difficult landing an in-house position as only a second year corporate associate in big law? I know some people who went in-house straight out of law school and some who had no transactional background but went in-house after just a year of practice. Not having that same luck on my end.

Starting a new position in a few weeks and have an opportunity to speak with my future boss before starting.
