Merger information statement - rep the company. How do we actually send this out to 70 stockholders? One generic Docusign that gets blasted to them all? Do you have to actually personalize anything in these? Only thing we want them to sign is the written consent and can’t think of anything that needs personalization. If we were to include a joinder as an exhibit to be signed would that change things? Would you attach form of joinder or have to personalize so then have to personalize all 70?

Isn’t the whole point of an information statement that you don’t actually need their approval (I.e. shareholders representing a majority have already taken action)? If you want to get post-merger approval anyway for good measure, I’d be inclined to just have a blank signature line that they fill in and return to the company. Make the legacy management of the target deal with communicating with the shareholders.

DocuSign allows you to add fields where people can type in their information, no? Where there are that many SHs and client doesn’t want to spend $$ on customizing individual sig pages, I would personally just send generic pages that people can fill in.

Client should be doing these comms, whoever is left. But also you wouldn’t sign an info statement

Partners: I’m a sr. associate managing multiple cases without a whole lot of oversight. A few of the cases I am managing are very large, very fast, and very contentious. I try to be as immersed in the details as I can, but can’t know everything. I rely on others to give me accurate and actionable facts. Lately, the actions I have been taking have been based on wrong, inaccurate, or incomplete info. I then get reamed in M&Cs and look like an idiot. [Cont. in comments]

I am a mid level and have received an offer from a regional big law firm in a non-market paying location. I believe the firm would be a great fit and the location is where I want to be. The biggest issue is money. I’d be lateraling from full cravath in a major market and the initial offer I received is a bit off that (read: 50% salary reduction). While the market is cheaper in some respects, housing is not. How far can I expect this firm to go to in terms of compensation? Any negotiation tips?
