I have an opportunity to be CFO/controller of a $4M EBITDA facility services business. It’s growing, the owner is looking to sell in 3-5 years, and I’m currently negotiating equity. Base comp is break even, no substantial bonus expected. I’m struggling between this opportunity and remaining in IB. How would you assess the risk/reward trade off here?

Would you get along with the owner/CEO over the next 3-5 years? And are there owner family that works there. That makes a big difference. Family companies suck to work for in my experience.

You can always go back to IB. These opportunities are rare.

CFO/Controller role sounds miserable, but if 1) the equity upside is high enough, 2) you’ve seen their financials to make sure they have comfortable cash flow/aren’t at risk of defaulting on debt covenants and 3) seems like there is a realistic pathway to exit at the EBITDA/multiple that gets you the MIP you want, then I say go for it

I am an associate at a UMM and my employment contract has a 4 month non compete (yes, even for associates) but I am thinking of lateraling. What are the implications of breaking a non compete?
