I just gave my notice at a white shoe firm with zero backup plan and I’ve never breathed easier. Forgive the basic question but can you contract around state statutes? For ex, customer wants to insert state contractor payment statutes and have that state law govern. I’m assuming the way around this is to have another more preferable state as choice of law?

Question for funds folks, since no one is around to answer any questions and I can't seem to find this answer anywhere. Why can't a placement agent combine or integrate the offering of interests in the sponsor's fund with the contemporaneous offering of interests in another fund? Is it based on reputational risk or from a sales perspective in case someone rejects both funds, any other issues? Thanks!

What’s the best way to turn down a 2nd interview? During the 1st interview, I learned that the compensation for the role is not within the range that I am looking for and requires 400 more billable hours a year than what I bill now. I’d basically be laterally for my current salary just to bill 400 more hours. I also wasn’t aware that the local office was strictly ID. Firm website advertises lots of practice areas. Any advice? I’ve always wondered how are lawyers chosen to be recognized in magazines or online publications as “Best Lawyers”/“Rising Stars”? I’ve always assumed it’s a circle jerk of some sorts for Big Firms nominating each other, but I have no idea.

Does anyone enjoy lender work? If so, what about it did you find appealing? I’ve somehow been saddled with all the lender work at my firm (despite never having expressed an interest in it and having no experience with it) and it’s miserable. Negotiating a settlement. I’m at $10k, opposing counsel is at $20k. My client won’t go higher than $15k. OC has come down to 17.5k and says his client won’t budge from that. Do I offer 12.5k so we can hopefully meet in the middle at 15k? Is that how the settlement game is played? Seems dumb we can’t just say let’s meet in the middle now and be done with this. (I’m a first year, first time negotiating a settlement on my own and I don’t want to screw this up!)

I'm a long time prosecutor getting into the ID game and billable hours. Are there any resources out there that can help me get more effective/efficient without spending months/years learning the hard way? Some days I'm at the office 10 hours, took virtually no breaks and yet only bill 7. 🤬

Second year associate here who recently switched from litigation to corporate law. I am absolutely swamped while simultaneously having no idea what I’m doing ever and I’m feeling so burnt out. The partners are pretty great and feedback is constructive which I’m grateful for, but I’m so desperate for a compliment I’ve been saving any scrap of positivity in a folder 😭 it’s December 22 and I haven’t done my Christmas shopping because I don’t feel capable of thinking about it.
