Waiting on offer to take over as CEO for ~$15M rev consulting company. I know bod expects to grow 3-4x in a few years then sell to strategic. Trying to think through how to structure fixed and variable comp, equity to ensure I enjoy the liquidity event, and protect myself if I'm axed early or axed upon sale in 3-5 years. Any suggestions? Depends how they structure the equity (e.g., profit units vs RSUs), but a few things come to mind
- Accelerated equity vesting
- Co-invest and having them provide leverage at a favorable rate
- Employee Agreement with 12 month severance if you’re terminated

Honestly not familiar with companies that size, so can’t give market for base or bonus, but if I were becoming the ceo of a PE-backed company I’d want the above three points

Interviewed for Deloitte S&A Tech Strategy SC and got a verbal offer for Consultant instead. I negotiated the offer to 120K salary and 10K signing bonus. I’m a boomerang with 4 years ERP consulting but this past year I’ve been doing DEI Consulting. Spoke with former colleagues who rejoined Deloitte and got a much higher offer for SC. How do I go back to the recruiter to negotiate further? I suggested that I’d probably sign but need time to think. Now I’d like to go back and request 140k salary.
