Need serious advice. Been a Digital Strategy consultant for three years, heavy focus on product strategy, research, development. It’s a small but global consultancy (offices in nyc, brasil, colombia). Had a colleague tell me she requires all Guarantees signed in an individual capacity notarized. I asked her if she still sends breakaway signature pages and she said yes of course. Wouldn’t whatever protection having the execution witnessed/notarized be negated by the fact it wasn’t attached to anything?

When will real estate law move past the need for original signature pages? They are the bane of my existence.

Conflicts checks question: thinking about making a move from small(ish) firm to a larger one. How detailed will a conflicts list need to be? Haven’t switched jobs since law school, so at a little bit of a loss about the whole process!

Closing is scheduled for Friday, and client (buyer) just informed everyone (lender, lender's counsel, seller, seller's counsel, and us) that they decided to have another affiliate take title to the property. Never mind all the signature pages are sitting in escrow. It's these moments that make me hate transaction.

Any advice on shifting from association law to commercial real estate in FL?

I've been applying to jobs for months but every position wants at least 2yrs of experience in real estate transactions, usually way more. I'm at 1yr+ doing HOA/condo work but have had no opportunity to do real estate transactions like I expected. Seems like the only way to get the experience is to have nailed a big law gig right out of school and get put into that practice.

Any recommendations for books/articles/other materials regarding development deals? I’ve been doing CRE transactions for years, but I just started a new role that includes a big development component. I’d love something that walks me through the major components of a development deal/explains when certain AIA forms get used, etc. (to supplement the training I’m getting from my boss)

Has anyone ever heard of this type of real estate private equity fund structure:

-One LLC, so only one PPM
-Multiple investors that can be onboarded anytime
-Multiple investments that investors can determine whether or not they want to invest in
-One K-1 per investor based on their investments and income
-Ability for the Sponsor/Fund to invest directly, indirectly and in equity, debt, Pref, etc.
To me this seems extremely cumbersome and would require multiple classes of (cont’d)
