Has anyone ever heard of this type of real estate private equity fund structure:

-One LLC, so only one PPM
-Multiple investors that can be onboarded anytime
-Multiple investments that investors can determine whether or not they want to invest in
-One K-1 per investor based on their investments and income
-Ability for the Sponsor/Fund to invest directly, indirectly and in equity, debt, Pref, etc.
To me this seems extremely cumbersome and would require multiple classes of (cont’d)

Membership interests to require amending and restating the LLC agreement. My thought is to form a series LLC in Delaware and allow the members of the master LLC to be members of the series—if they like the deal—with others who are not part of the master LLC to join each series. I’ve actually done this, but the single LLC structure that I’ve described seems a little odd. Thoughts?

No. That is not how it works. At least in DE. You can think of each series almost as its own LLC. But the — depending on other circumstances — the fees and paperwork are just easier. But each state that allows series LLCs may be different. There are only 7 other states outside DE (and PR) that allow series LLCs, last time I looked at it. But each likely has its own rules on how series are treated.

I Appeared for an interview for RPA - Automation Anywhere. I didn't got any response after the interview. A client developer group just told me they reached terms to “buy equity in a lease.” From what they’ve told me, if we were setting this up fresh, I’d do a new LLC and easily handle capital contributions, buy-sell, etc. in the new LLC agreement. However, here the partner had a long-term lease on the underlying RE that our group wants to develop as a concept. Pro se plaintiff, an attorney, filed a complaint alleging mold defects after closing on a property. Client, layperson, may have agreed orally to a settlement amount without proof of damages prior to filing appearance and obtaining an attorney. Client filed appearance pro se, then plaintiff sent over a draft settlement agreement few weeks later which client didn’t sign. Client then got an attorney, filed answer, etc. Can this oral agreement be voided for coercion, indefinite mat’l term, etc?
