Biglaw tax associates: how long do you typically spend marking up an offering memo? How about an LPA?

Offering memos get pawned off on juniors if it’s a run of the mill disclosure. Otherwise, 2-3 hours on the disclosure if working from a good precedent. LPAs for funds, about 1-2 hours. LPAs for JVs, a long ass time.

I have a tax LLM and started my career out of law school doing M&A tax at a big4. After 9 months, I got out of big4 transactional hell and into whatever litigation I could find. I now practice commercial lit but would welcome the opportunity to eventually transition into tax controversy (which I wasn’t able to do before). Has anyone dealt with stuffing allocation in a non-hedge fund context? It seems even in the HF world the law is fuzzy in using aggregate reverse 704c principles in stuffing allocations. Like, sure, the market is there but no authority really blessed it (other than some Cravath partner’s article in Tax Notes in 2013). If we are talking asset class that isn’t really like marketable securities but might be able to treat it similarly solely by virtue of, say, valuation on a quarterly basis (contd)
