Considering moving from a large, old public company to a very promising late stage start up. I’m obviously already thinking of all of the worst case scenarios (the company runs out of money and I’m out a job), but can anyone throw out more pros and cons? I’d also like to know how it might look if I make a jump like this, the company folds, and I’m looking for jobs - will people think I’m an idiot for taking the risk?

Depends what you want out of your career. By taking the risk you’re stretching into new areas and learning how to navigate different challenges than what you’re used to. Might be a better path for where you want to end up? I don’t think people will think you’re an idiot, people move to startups all the time…

I have been looking at the curriculums for Harvard Business School's Master of Business Administration and Harvard Extension School's ALM in Management. They both have the same requirements (generally speaking) including a capstone course that serves as a field immersion course with the Master's in Management, which is fairly new. If I am not able to gain admission to Harvard Business School, but wanted a similar educational experience to become a consultant, should I attend Harvard Extension?

Any suggestions for a formula to calculate a running count of the number of incidences in a list? For example, in a list with A, B, C, B; I want to label A = 1, then the first B =1, and first C = 1, and then the second B = 2, etc. The list is in a column and there are thousands of names. Over the past year, my counsel is constantly judged by a select few senior business folks (eg arguing over FTC compliance, IP risk counsel, and even simple things regarding NDAs that any attorney wouldn’t question. It’s very frustrating that my own team is the one I have to defend my logic to (and not opposing counsel). It feels like they want a rubber stamper, which is not me.I never faced this at my prior in-house roles (probably because they were much a larger). Any advice on how to handle?

Outside counsel has been prepping company witnesses for a trial in August. It is my subject area so I am supervising outside counsel. I did not, however, choose the counsel. He is doing a really awful job. Co counsel is better, but not great either. Higher ups love the firm… I do not want to micromanage, but I have genuine concerns about outside counsel’s ability to try this case. Trials are rare, and I just don’t think these guys have actually tried many cases. Cont. below…

My background is in tech transactional. I joined a cybersecurity SaaS startup at the end of last year and now also handle more generalist matters in addition to all things commercial-related. Forgive the basic question but can you contract around state statutes? For ex, customer wants to insert state contractor payment statutes and have that state law govern. I’m assuming the way around this is to have another more preferable state as choice of law?

Considering taking a position with a small-cap in the US trying to build their legal department. The title is standard “counsel” although the work would be with the senior leadership team and reporting to the GC in Europe. How reasonable is it to ask for a bump in title - Senior counsel or Head of Legal, US? If it matters, I am a 6th year and have been told that I will be expected to hire a junior or paralegal as we build up.
