Got an offer for SE III at a large tech company. Product I'd be working on interests me and I think I could grow more than in my current role.

Currently I make 180k base and have ISO/RSUs @ startup (60k/yr worth on paper, but won't be worth anything for a few years, if at all).

The offer is:
Base: $166,500
Target Bonus: 10% ($16,650)
RSU: 120k total (30k/yr)

Thoughts on offer? Should I counter?

Additionally there's a yearly target RSU bonus about equal to the cash bonus. Thoughts? 4.5 YOE

Anyone have any idea when the hiring freeze might end within AWS ProServ? I’m currently at Amazon and have a TS clearance, PMP & CSM. I come from a Big4 consulting firm with a background in Enterprise Performance. I’ll be honest and say I’m not feeling very safe in my current role with the ongoing layoffs. I am working on a NFOA for a design case. The Examiner identified a primary references and four secondary references. The Examiner also pointed out five differences between the primary reference and the claimed design. For the reply, I found nine additional differences between the claimed design and the primary reference, two of which are not present in any of the cited references. I’m a patent pros. paralegal working in bio/chem at my firm, 26 yo with an MS in Chem at 100k and a 115 hr billable req.
After the mental beat down that was grad school, I’m happy to have straightforward tasks and mentally coast, but my attys want me to start studying for the patent bar asap.
I like where I’m at and I know that once I start down the tech spec/agent/attorney path, it’s going to be full speed. How long do you think I can/should stay in this position before starting to study?
