My pwc hr told max ther can give 15 fixed.Should I take pwc offer of 15 fixed?

By “bay” do you mean SF Bay Area? Neither is particularly well known in tech so it’s a toss up. For culture Cleary all the way. I heard Sidley stealths, especially in the Bay Area.
@A1: The offer is for both Cleary's Silicon Valley and SF offices and Sidley's Palo Alto and SF offices. Associates can apparently travel freely between the two.
In that case, you should talk some sense into the SA. How does she know she wants to do public M&A? Probably because it sounds sexy and people talk about it in school because they don’t yet know much else about other corporate practices. If you’re going to be in the Bay Area, that is not the sexiest or most interesting work. You’re likely doing a lot of serial acquirer work, such can be soul crushing and dry.
She should go to whichever firm she thinks she can try the most types of work. Then she should apply to tech firms for her full time job after graduation. Cooley, Fenwick, Goodwin, WSGR, or even Latham. They offer much more interesting work with the best clients in the Bay Area and tech.
