Working at agency under a holding company. Holding company is trying to poach me. Will I be burning bridges if I take the offer from the holding company?

I've been working at my company just over a year and am still waiting on my 1 year review where a raise was to be discussed (other EA got raise at 1 year review and most raises happen at yearly reviews). However, company have just changed their policy to only review salaries in Jan (change came in after my year mark). I'm having a lot of trouble pinning my manager down for my annual review to even discuss my performance, let alone the raise. Feeling the undervalued (and now underpaid):
