Not a HM but just went through this process and did pretty well. I focused a lot on the business side of things and going deep w one company. I wouldn’t bring up less hours or intensity or bad taking BL

I honestly look for mostly cultural fit. I feel I can teach someone just about anything we do - what matters to me is that the person be personable and easy to work with. Acceptable reasons for leaving big law (in my view) legitimately include: burnout, wanting a change of pace, wanting more wlb, and having a greater impact on business decisions

Usually something about getting closer to the business.

Personally, I have no issues with candidates being upfront about better WLB. Others on the in-house bowl disagree because you risk coming off as lazy.

I’ve been with my current company for a little over 5 years now and since the start of the pandemic have been WFH. I absolutely love WFH and have always wanted a position in which I could WFH. I have an asset purchase of a retail store transaction. Seller is keeping the second location. Seller is licensing the name from the buyer. The licensing agreement is supposed to contain provisions so that the seller cannot offer promotions or discounts that the buyer does not also offer (i.e., seller cannot undercut buyer's pricing). I know very little about antitrust. Can anyone give me some suggestions how to enforceably draft this agreement, or is this arrangement impossible?

Working on a deal where buyer's side keeps on insisting on a POA to effectuate all actions of Seller under the agreement, including executing documents. I keep striking this and commenting that this is not standard. Has anyone dealt with this? I am okay with a limited POA based on the industry of the Seller, but not this general POA.
