Not a HM but just went through this process and did pretty well. I focused a lot on the business side of things and going deep w one company. I wouldn’t bring up less hours or intensity or bad taking BL

I honestly look for mostly cultural fit. I feel I can teach someone just about anything we do - what matters to me is that the person be personable and easy to work with. Acceptable reasons for leaving big law (in my view) legitimately include: burnout, wanting a change of pace, wanting more wlb, and having a greater impact on business decisions

Usually something about getting closer to the business.

Personally, I have no issues with candidates being upfront about better WLB. Others on the in-house bowl disagree because you risk coming off as lazy.

First interview at a biglaw firm. Just graduated and want to pursue transactional areas, no prior experience. I feel like I’m a risk of a hire in their eyes so any advice?

I have an asset purchase of a retail store transaction. Seller is keeping the second location. Seller is licensing the name from the buyer. The licensing agreement is supposed to contain provisions so that the seller cannot offer promotions or discounts that the buyer does not also offer (i.e., seller cannot undercut buyer's pricing). I know very little about antitrust. Can anyone give me some suggestions how to enforceably draft this agreement, or is this arrangement impossible?

Corporate / M&A folks making moves over the last few months: Got an offer from a top 50 lockstep AmLaw100 firm. 4th year. Not NYC but in a market that was recently bumped up to the previous Cravath scale market. Base is obviously set. What should I expect / negotiate for signing bonus, year-end bonus eligibility, special bonus eligibility, etc.? Any other negotiation considerations? Working on a deal where buyer's side keeps on insisting on a POA to effectuate all actions of Seller under the agreement, including executing documents. I keep striking this and commenting that this is not standard. Has anyone dealt with this? I am okay with a limited POA based on the industry of the Seller, but not this general POA.

Curious as to how many deals at once is typical for a first year associate to take on (M&A, mostly private equity clients). Deal size is lower middle market and I’ve worked on deals ranging from $1-$110M. 2 deals at once is plenty for me, but it seems like my peers are able to take on more than that at once and still do fine. Maybe I’m just a slow learner/out of my league at the big law firm I’m at.
