What practice group? If m&a, also include Term, Termination, Change of Control/Assignment, Other Restrictive Covenants.
OP, depends on how detailed you want your contract review to be. A1 is right that the purpose of the term is to figure out when the contract will expire.
If you don’t want to summarize entire termination provisions, at least note those that can terminate for convenience. If they are terminable by convenience, then other termination triggers don’t matter as much.
Hum… don’t you have a precedent to start from that the partner/client like? I’d ask for one.
Title
Name of the parties
Date
Object/Purpose
VDR number
Be sure to have any required disclosures as well. Makes the schedules so much easier
Yes, obviously..
Obviously good to share ideas here, but you should be able to ask the senior associate for an example of review spreadsheets, or search your firm’s doc management system.
Personally, put VDR file name first column followed by name of agreement.
