As the indemnified party, do you exclude Indemnity obligations from the LoL cap?

Curious how compensation works for counsel at top-tier law firms. How much do counsel make? Is it relatively set/lockstep salary, or does it vary significantly based on hours? Do counsel have hours requirements?

As a (class of 2020) second year whose several classmates from different groups are already thinking about leaving/going to other firms, should I explore other options too? Don’t know if they’re being dramatic about how bad it is or if I’m just drinking the koolaid in my group?

Happy wife happy life is a really toxic saying. I’m just shocked how this has become the standard saying for men in relationships. I have friends of mine saying this all the time, and I have just thought it’s so cringe and always want to say my thoughts on it but always decide to hold back. However, imagine the saying reversed - happy husband happy life - that would lead to all kinds of uproar. To me happy wife happy life means I need to sacrifice my wants and needs to make my wife happy.

So I had 3 deals scheduled to either close end of May or mid June which were all pushed to end of June/beginning of July. Which is when I have my first vacation planned for over a year (I take 0 time off). My whole family is flying up and we’re renting a cabin near me. What do I do? I’m running one of the deals, semi running the other one and not doing much leading on the other one. Note: I was supposed to not be running any of these. Do I find a back up first or tell the partners first?

I have an asset purchase of a retail store transaction. Seller is keeping the second location. Seller is licensing the name from the buyer. The licensing agreement is supposed to contain provisions so that the seller cannot offer promotions or discounts that the buyer does not also offer (i.e., seller cannot undercut buyer's pricing). I know very little about antitrust. Can anyone give me some suggestions how to enforceably draft this agreement, or is this arrangement impossible?

Junior associate here, should I ask for more money if my firm is about 10-15 percent less hours but about 30 percent less pay? The gap will never be closed to the top pay scale at my firm but when I decided to come to this firm the pay difference was about 15 percent and not 30. Corporate / M&A folks making moves over the last few months: Got an offer from a top 50 lockstep AmLaw100 firm. 4th year. Not NYC but in a market that was recently bumped up to the previous Cravath scale market. Base is obviously set. What should I expect / negotiate for signing bonus, year-end bonus eligibility, special bonus eligibility, etc.? Any other negotiation considerations? I would say leverage is on my side considerably.

Do any real estate lawyers out there know of/can direct me to a ROFO agreement to purchase commercial property? I’m working on one now (but using a ROFO to purchase equity interests as a basis) and would like to see what other people are doing. Finding a good one has been hard, as this kind of thing isn’t always required to be filed with the sec and every search I’ve done basically pulls up garbage. Also, are there any provisions you’d consider absolutely crucial from the owner’s side?

Is it possible to be a “silent” investor (party A) with a friend who’s an accredited investor (party B)investing in a company? So if B is investing $50k in a company, and A wants to give B $25k of that investment, is this possible with an agreement between A and B, where they’re responsible for their own portion of taxes?
