Currently a senior in a BigLaw transactional tax practice. I’m starting to explore the in-house market. Any suggestions on specific roles / titles that I should look out for that fit with a transactional tax practice background? Ideally want to continue with deal work and structuring but open to becoming a more generalist (understand that’s the nature of being in-house).

Generally something with the terms “M&A” “planning” or “strategy”.

PE funds may or may not have one or two tax people who support deal teams.

Large publicly traded companies will generally have some level of in house transactional or planning competency.

Error bars here are enormous and always going to want to do some probing during the interviews about what the responsibilities are. A bunch of companies out there that will try to sell roles as heavily planning when it’s a pretty mixed role with significant compliance/provision responsibilities.

As echoed above, tax counsel or tax planning are the key terms. If you’re focused purely on transactional, then PE firms or larger F100s who do deals all the time (look at the oil majors or med tech) might be your best bet. I did a pivot to focus more on transfer pricing and supply chain planning 10 plus years ago, and that allowed me to keep busy in my current role (we do very little M&A where I am at).

How does everyone bill for family law matters? Do you always bill hourly or is there some flat fee, monthly or quarterly fee structure that could work, even in contested matters? I have cases that the clients end up spending $20-$40,000 on a contested divorce and this is really out of their budget. I feel that if my firm could charge a flat fee of $10-$15,000, it would still be beneficial from a client predictability and volume standpoint and would generate more referrals.

Has anyone dealt with stuffing allocation in a non-hedge fund context? It seems even in the HF world the law is fuzzy in using aggregate reverse 704c principles in stuffing allocations. Like, sure, the market is there but no authority really blessed it (other than some Cravath partner’s article in Tax Notes in 2013). If we are talking asset class that isn’t really like marketable securities but might be able to treat it similarly solely by virtue of, say, valuation on a quarterly basis (contd)

How difficult is it to lateral to other areas of tax without prior experience in the area? (Ex: Income tax planning to estate planning, corporate tax to exec comp, or estate planning to controversy work, etc.) Assuming you have an LLM or a couple years of experience in your first tax area.

When the IRS (e.g., a RO/AO/Examiner) calls or writes a letter… How do you verify that it’s really the IRS and not a scam? I’m new to tax law and I’m worried that I’m going to respond to/answer a scam and give away client info (or my own tax preparer info). Transitioning from com. lit into tax controversy?

I have a tax LLM and started my career out of law school doing M&A tax at a big4. After 9 months, I got out of big4 transactional hell and into whatever litigation I could find. I now practice commercial lit but would welcome the opportunity to eventually transition into tax controversy (which I wasn’t able to do before). Does my commercial litigation “break” hurt my prospect? How long can I stay in com lit without hurting my chances even more?
