Do small firms do M&A? I have a family member who is trying to do an asset purchase. The deal is less than 500k. Anyone know any small firms where the billable hour rate is low? I’m not sure how realistic this is for M&A. The deal is with Texas entities. They only have an 8k budget. I told him it’s unlikely, especially because I feel that the deal documents need more work. I told them I’m willing to ask around but I don’t think that’s enough.

At that size, you’ll struggle to find anyone candidly. My guess is he is just going to end up buying the assets and signing a bill of sale and calling it a day.

100%. I like your idea of keeping it simple with a bill of sale. He drafted a whole asset agreement and I was like this isn’t sufficient and you don’t even understand what you are trying to get folks to agree to in this document. I don’t do enough M&A to help him and I’m a specialist. But, a bill of sale is simple.

There are a huge number of firms that specialize in small dollar M&A and have very low hourly rates. Lots of great lawyers out there too. You just need to look around. 8k is on the low side though. Between 10-20, depending on complexity, is more realistic.

5th September is my last working day at Infosys. Yoe=4+ yrs
Tech= aws devops
I hold an offer of 18LPA from KPMG with joining date of 7th September. (Wfh)
I applied at Workday on 15th May and went through 7 technical rounds of interview and received a verbal offer letter of 21LPA (hybrid)
Now apparently their technical panel "forgot" about the interview and wants to have a discussion again as 8th technical interview. HR says their joining date will be 19th September.

I'm a third year plaintiff's employment law attorney and I'm looking to move to defense, preferably still in employment law. I received an offer from a midsize firm that primarily focuses on PI with little-to-no employment law practice, so I'll have a bit of a learning curve. Offer is $90k, billable hours of 2100. Is this reasonable? I'm dead-set on leaving my current job, and this would be a $20k pay increase - which makes me believe I'm leaning towards taking it for those reasons only.

I am lead counsel on a case - we’re suing 3 businesses and my supervisor is a named incorporator of one of the businesses although he is not an officer. He is asking me to bring the file and meet with him about the progress of the case. I reminded him of the conflict and he stated that the conflict was resolved because he also has a claim against 1 of the companies that he recently filed separately. I don’t see how that resolved the conflict…and he’s fully pressuring me to meet. How to respond?

I have an interview at a firm that focuses on criminal defense. I currently work in ID and have years of previous PD experience. I’ve never worked in private criminal defense. What questions should I ask in the interview? What should be looking at to evaluate whether it is a good practice?

I’m so bad at writing the background/ facts section for briefs… it always gets heavily edited and no one is giving me constructive feedback other than “advocate more”. In contrast, my legal argument section is generally without edits. For context, first defense lit job post appellate clerkship. Is this normal?? Any tips for getting better other than “advocating more”?

How does one deal with an incompetent paralegal? I am gracious to all paralegals because it’s not an easy job either but there is one in particular who is driving me up a wall. It’s literally taking me more time to explain to her how to do basic tasks that I end up doing it myself.

I am a new (lateral) associate at a small firm where everyone currently works from the office. When I started, I wasn’t told specific firm hours. I’ve tried to figure out when to come and go based upon when the partners arrive and leave, but their schedules are very inconsistent. The other associates don’t have helpful guidance for me.
