Has anyone dealt with a capital reduction without a payout? Trying to see how this is treated if a CFC of a US company reduces its share premium to offset a deficit in retained earnings. Is it a dividend for US income tax purposes if no consideration was paid?

I got an offer from X company with a 45% hike and my current company manager matched that offer instantly. Now company X offered me another 45% hike which is a total of 90%hike. Now I am a bit confused to decide. If I resign from my current company, not sure if it is ethical since my manager respected me and has matched my offer instantly. Any suggestions?

Rant: my boyfriend is so annoying with this diet! I GET IT. You want to eat healthy! But when you have your friends at our place every other weekend they order pizza and you devour most of 2 boxes! Is it okay to disappear from friends & family to work on career change goals (several months)? I want to focus and not get distracted by friends & family needs to see me or attend certain things as it takes up a lot of time. If I focus for a short time, I can quickly achieve my goals to switch. I can hangout with them after all of that. What do you think?? Any feedback will be appreciated.

I regret choosing Deloitte India over USI, salary is same but i liked the clarity of my leadership team, which is still the same they are awesome, but USI people are getting many benefits, on time Hikes and appraisals, but i don't get all of those, which is kinda depressing.

I am an experienced hire. My case might just take you by surprise. I joined EY GDS 10 months back at 40% hike (leaving PwC) and now Deloitte (DIJV) is offering me 2 level up designation at Manager level with another 40% hike. This has effectively doubled my salary in the last one year bt still I am confused to switch or not considering the amazing bonuses GDS payed off today. Please suggest.
