Poorly.

Exactly lol
Poorly. And when across from a big firm they basically ask my teams to do all the work for them (draft all docs, compile all docs, prepare their sig packets, update checklists). Sometimes they don’t even markup agreements, will just flag issues and then we end up returning our own agreements.

Hasn’t happened to me but I’m sure it happens. We know the deal going in when we’re across from these tiny shops
Guessing they just ask Claude or ChatGPT these days.

There are solo specialty shops too. They should be engaging other counsel when those are needed. The difference is that solo M&A folks don't do that as a default, so it's often cheaper since they only engage specialists when they're truly needed...not for needless copy/paste work that M&A folks are BigLaw don't want to learn to do themselves. BigLaw tends to be a bit too silo-ed; it's pretty obvious when you work for an M&A lawyer who has done other things and when you work for an M&A purist who can't do anything outside of their part of the Merger Agreement and Info Statement.
