I recently got selected for Manhattan Associates R&D while on a job hunt. I already have an offer from another company. What was told to me as company policy is that Manhattan will match my current offer and roll out a basic offer letter, post which there will be a negotiation and final numbers will be reached and approved over email. The final offer letter will be rolled out on my DOJ. I feel it to be a little risky. Is this normal and is it actually their company policies? Please suggest.

I want to get to know the local private companies. I worked at a private company with 2-3k employees before my MBA. They had an amazing culture, but limited progression opportunities. I'm thinking about looking for a smaller company (couple hundred to couple thousand employees) in the Dallas area and looking to find an amazing culture.
