I work as a corporate transactional associate at a boutique firm. This is my first job out of law school and I have been working for 3 months as an attorney. Any resources that can help me excel at drafting and understanding the law? I feel lost whenever I receive an assignment and would like to be more efficient. Thanks!

You should be spending most of your time studying prior deal docs and preparing specific questions to ask

Find precedent docs on the system and Practical law (with drafting notes). Also, ChatGPT has been largely good if you ask it narrow/on point things to draft as a starting point.

Listen to the partners and senior attorneys and ask a lot of questions. If you can find a partner or senior attorney to befriend, it gives you a great resource. You are super green so don’t beat yourself up for not being an expert. It takes time. I have been doing transactional work for years and still learn new things and come across new situations all the time.

West Law has a function called “what’s market”. For narrow issues where you don’t have on point prior deal docs, it can come in clutch

I have an asset purchase of a retail store transaction. Seller is keeping the second location. Seller is licensing the name from the buyer. The licensing agreement is supposed to contain provisions so that the seller cannot offer promotions or discounts that the buyer does not also offer (i.e., seller cannot undercut buyer's pricing). Curious as to how many deals at once is typical for a first year associate to take on (M&A, mostly private equity clients). Deal size is lower middle market and I’ve worked on deals ranging from $1-$110M. 2 deals at once is plenty for me, but it seems like my peers are able to take on more than that at once and still do fine. Maybe I’m just a slow learner/out of my league at the big law firm I’m at.

Do any real estate lawyers out there know of/can direct me to a ROFO agreement to purchase commercial property? I’m working on one now (but using a ROFO to purchase equity interests as a basis) and would like to see what other people are doing. Finding a good one has been hard, as this kind of thing isn’t always required to be filed with the sec and every search I’ve done basically pulls up garbage. So I had 3 deals scheduled to either close end of May or mid June which were all pushed to end of June/beginning of July. Which is when I have my first vacation planned for over a year (I take 0 time off). My whole family is flying up and we’re renting a cabin near me. What do I do? I’m running one of the deals, semi running the other one and not doing much leading on the other one. Note: I was supposed to not be running any of these.
