I recently left the gov’t for private practice with a M&A group. How does everyone bill when you are thinking about how to structure it and what docs need to get drafted? I’m learning that billing is an art so any canned language would be great!

I have billed 4+ hours today helping a partner prepare a 10 slide PowerPoint for a board meeting tomorrow. Let’s say half of the time was fixing spacing and formatting. I really don’t care as I am billing all of it, but am I wrong in thinking this is unjustifiably too common and a waste of time?

Corporate / M&A folks making moves over the last few months: Got an offer from a top 50 lockstep AmLaw100 firm. 4th year. Not NYC but in a market that was recently bumped up to the previous Cravath scale market. Base is obviously set. What should I expect / negotiate for signing bonus, year-end bonus eligibility, special bonus eligibility, etc.? Any other negotiation considerations? I would say leverage is on my side considerably.

Curious as to how many deals at once is typical for a first year associate to take on (M&A, mostly private equity clients). Deal size is lower middle market and I’ve worked on deals ranging from $1-$110M. 2 deals at once is plenty for me, but it seems like my peers are able to take on more than that at once and still do fine. Do any real estate lawyers out there know of/can direct me to a ROFO agreement to purchase commercial property? I’m working on one now (but using a ROFO to purchase equity interests as a basis) and would like to see what other people are doing. Finding a good one has been hard, as this kind of thing isn’t always required to be filed with the sec and every search I’ve done basically pulls up garbage. Is it possible to be a “silent” investor (party A) with a friend who’s an accredited investor (party B)investing in a company? So if B is investing $50k in a company, and A wants to give B $25k of that investment, is this possible with an agreement between A and B, where they’re responsible for their own portion of taxes?
