Do any real estate lawyers out there know of/can direct me to a ROFO agreement to purchase commercial property? I’m working on one now (but using a ROFO to purchase equity interests as a basis) and would like to see what other people are doing. Finding a good one has been hard, as this kind of thing isn’t always required to be filed with the sec and every search I’ve done basically pulls up garbage. Also, are there any provisions you’d consider absolutely crucial from the owner’s side?

I have been researching into this these days and there is literature that shares how lending worked in pre-Islamic Arabia. When the time to pay back a loan came, the lender would ask "would you pay or will you increase?" And that increase was usually doubling the loan. Like in Dec and March you will see less requirement due to Christmas and financial year ending. Similar what is the best period?

Because in my previous switch, 15 days were wasted due to Christmas and in March lot of requirements went on hold due to financial year ending.

Curious as to how many deals at once is typical for a first year associate to take on (M&A, mostly private equity clients). Deal size is lower middle market and I’ve worked on deals ranging from $1-$110M. 2 deals at once is plenty for me, but it seems like my peers are able to take on more than that at once and still do fine. 2020 grad here. Worked at a firm and then clerked. Just started another clerkship and planning on returning to big law around this time next year. Thing is I’m certain I don’t want to litigate and want to do corporate. Has anyone done this?

OC has an issue with a financing term that deal teams worked out. Is it unethical to ask deal teams to discuss these terms and instruct us how to proceed? These seems to be business term where counsel can’t work out the differences, without business agreeing.

I recently left the gov’t for private practice with a M&A group. How does everyone bill when you are thinking about how to structure it and what docs need to get drafted? I’m learning that billing is an art so any canned language would be great!
