Anyone here who started in a general corporate or commercial trans group that later transitioned to a more specialized group (M&A, funds, financing, etc.)? If so, what made you switch and are you happy with the change/what has your experience been like?

Interested in doing the same - following this thread for any insights anyone might have!


For me, it was the people in the specialized group. They were great mentors and just seemed more fulfilled + humane. They stayed great, but I realized it’s still important to have some interest in the subject matter because boredom can set in quickly.


I fell in love with m&a bc when I work so much it’s cool to be able to impress people the one or two times I have a chance to get out. But srsly, u learn a bit of everything with m&a and constantly hone both your problem solving skills under pressure and also your negotiating skills/quick wit. Also law firms love the m&a for the many times undiscounted $ coming in.

Hello. I am a Trust and Estates Paralegal based in Boston. How does one break into the corporate field without corporate experience/training/background?


Can a JV agreement be used if the ultimate JV is one of the two JV partners? A + B = B (with A owning a portion of B and B contributing daily management etc)? Not sure how to draft that from a form agreement.


When would you say that things really started to “click” for you and you felt like you knew what you were doing? Not necessarily when you could run a deal, but where you really began to understand the basics of getting a deal from start to finish and generally could draft ancillary documents with little to no revision needed? Also, when did you feel more in control of your work flow and have a solid grasp of how long tasks would take you?


Anyone work with partners who are obsessed with precedent documents? Like, if you draft something but it didn’t come from one of their precedent agreements, they’ll make you change it even if the provision works? Zero creativity, you just bolt together bits of old agreements until you have an overengineered frankendocument.


In biglaw, Is it normal to have senior attorneys ask you to summarize meetings and send it to the team? (Non client facing, just a summary of what was discussed in the meeting)

Lien search help. I work at a regional firm, and only one paralegal is available. This paralegal started yesterday …. I essentially have to coordinate with the lien search rep to order lien searches. When an entity is incorporated in DE but the PPB is in a different state, what searches need to be conducted and where? Would we need bankruptcy and federal judgments and lawsuits in DE?

I’m a 5th year Corporate/M&A attorney with opportunity to move in-house with a wealth mgmt firm. Would retain of counsel status with current firm with small override on pure legal referrals. All other work would be “business advisory” in nature billed to wealth mgmt. The objective is for the wealth mgmt firm to offer a wholistic suite of services for clients (e.g., M&A, governance, operational, tax, estate plans, investments). Thoughts on the move? It’s unproven, but seems exciting.


How does everyone network/find clients? I’m a third year associate in Fort Lauderdale working at a small firm doing M&A and general corporate work. Let’s see who remembers their MPRE. Just found a position at my dream firm I would like to interview for; however, I was also just placed on a deal where dream firm is the opposite counsel. I don’t want my current firm to know I’m thinking of leaving in case I don’t, so asking for a conflicts waiver doesn’t seem feasible. But the deal won’t close until next year, so I doubt the position will be around if I wait that long. Any advice?

Long term, is it a good idea for a new lawyer who graduated without an MBA to try and get one if they are headed to a corporate group at a large firm? Assume that the lawyer has an interest in it and is not simply looking to stack accolades.
