I want to join a start up in my industry but I need to rescind a job acceptance from a more establish company. I resigned from my old job and didn’t start the new job yet. Is the non compete I signed, as part of the job offer acceptance for the position with the bigger company, enforceable if I rescind my job acceptance before I actually start a new job? I don’t think it is. I didn’t receive a sign on bonus so no additional consideration was exchanged from my understanding of my law classes.

I am considering investing in an early stage startup. I know the founders for many years and are more like family to me. I will be investing $100K with a convertible note. What should be the equity that I should be drawing out? I don’t want to draw just the fair amount so the company is not at a disadvantage when they eventually raise money outside of F&F. I just left my pre-seed startup that was running out of cash (we made $100,000 in revenue this year, and sunk $1m in costs). I was making $40,000 as a developer (plus 20k stock options at $1/share per year) and they refused to pay me any more money. I have 17,000 vested stock options, total number of shares at the time of my contract was 4million.
