It could also be the manager of the LLC. Or an “authorized person.”
Officer of the corp so it would be for example, XYZ, CEO of the sole member of the applicant
I feel like I’ve said “CEO of the Manager” or something like that in the title. Idk why you couldn’t
Related question, has anyone ever gotten in trouble for messing this up? Attorney submits it? Too junior an officer? Etc.
Thank you both- it’s a manager-managed LLC but the SS-4 only has a line for “Responsible Party” - assume that is the individual who is an officer of the “parent,”but there is nowhere to identify the parent of the LLC.
Have the LLC formed appoint an officer authorized to file this and have them sign that as responsible party
If the parent company is the manager, the signature line reads:
“Manager:
XYC COMPANY
By: ___________________
Tom Jones, President”
You’re right. I missed it was a signatory SS4.
Typically we have the person sign whose name and SSN appear in items 7a and 7b.
The IRS defines Responsible Party for LLC as the member or the person who has control over financial decisions - “The "responsible party" is the individual or entity that controls, manages, or directs the entity and the disposition of the entity's funds and assets,…”
If you’re applying online do NOT list a company as the responsible party. They want an individual - we typically list the manger. Or the manager/officer of the manager.
