Very Noob question: First year here that has done DD for a couple of deals representing the seller now. Essentially all I did was note whether certain agreements have change of control provisions, and if so, what the specific language is. I understand what the CoC do, but why am I doing this? Specifically, what does the buyer do with this? It seems like these provisions should trigger but nothing then happens...

My mentors (partner & senior) have scheduled a feedback meeting with me on Wednesday. It’s not just me, they’re scheduling meetings with everyone so I’m probably keeping my job. Anyone else super unimpressed with administrative support with a new firm after lateraling? I told a partner I’d just take care of a routine task myself. He told me my rate is too high and to use a “project manager” (basically an intern they can pay less than a paralegal). We have a 40 person group and 3 project managers making starvation wages. Big firm. You’d know the name.

Worst luck ever. My group was very slow from Jan through may, so I won’t hit my hours, but am now (and will continue to be) very busy…. About to do 1990 hrs the most painful way possible. Fml.

Can someone explain to me what law clerks are in private practice? I'm based internationally but deal with our NY office a lot, and I can not figure out what the title actually means/where it sits.

Random partner asked a litigation-related question to a partner I frequently work with (i’m a transactional associate). My partner cc’d me and said for me to briefly look. Asked the library. They got me a great case. Sent it back. Now the random partner is asking for more cases in another circuit.

I haven’t done caselaw research since 1L and this isn’t even my practice… wtf do I do (I am fully utilized in my normal work and have a few deals closing soon…)

There is a partner that, without fail, calls on Fridays after 6pm anytime I am staffed with him. It’s extremely frustrating since his calls are usually non-urgent and I make it a point to check in early in the day to address anything. Any advice?
