PE M&A lawyer here. Not a single deal I've ever done has actually been value add for a business. Not a single one. You should have been sending apps out the moment you learned about the deal.

Most people will either be let go or will voluntarily decide to leave - both in legal and outside. Sometimes will bring in entirely new GC - that’s what happened at my former company

Read private equity playbook by Adam coffey. If you are valuable senior or executive with equity and pull, you probably hit the jackpot. Otherwise, the complete opposite.

I got rich working for a sponsored company. I came in very soon after the ipo. My colleagues who were there when the buyout occurred (about 6 months earlier) made more.

All of this “always” or “never” stuff is ridiculous. I’ve worked for two sponsored companies. One failed; the other succeeded amazingly. Neither fired the lawyers when they were bought.

My colleagues got to invest $25k at the ipo price and received some options at the ipo. It was good but not great for them. I got stock and options as part of my comp. I didn’t sell any stock that I received. I also held my options as long as I could. Most people monetized asap. The company almost went down in the Great Recession. 401k match was going in at under $2/share. We merged in 2015 at over $100/share. IMO, the only way to get rich working for someone else is through leverage in your comp.

I’m seriously enatkng to get into an SE role and have been searching for Associate Sales Engineers that do NOT require SE experience since I’ve none. It’s proving to be difficult. Most companies for some reason are requiring 2-3 years of experience for the Associate role. 😭 Any Sales Engineers who know of companies hiring those with no experience? Additional Posts in In-House Counsel

Starting a new position in a few weeks and have an opportunity to speak with my future boss before starting. Is there anything I should ask before starting that wouldn’t already have been covered in the interview? I was thinking about asking if I should read up on anything before starting, but I also don’t want to impose obligations on myself if I don’t have to. Fwiw going from firm to in-house. TIA!

How long did it take you to find the right position the first time you went in-house? I am 5 months into it and regretting turning down the (lowball) offer I got a couple months ago.

Outside counsel has been prepping company witnesses for a trial in August. It is my subject area so I am supervising outside counsel. I did not, however, choose the counsel. He is doing a really awful job. Co counsel is better, but not great either. Higher ups love the firm… I do not want to micromanage, but I have genuine concerns about outside counsel’s ability to try this case. Trials are rare, and I just don’t think these guys have actually tried many cases. Cont. below…

Over the past year, my counsel is constantly judged by a select few senior business folks (eg arguing over FTC compliance, IP risk counsel, and even simple things regarding NDAs that any attorney wouldn’t question. It’s very frustrating that my own team is the one I have to defend my logic to (and not opposing counsel). It feels like they want a rubber stamper, which is not me.I never faced this at my prior in-house roles (probably because they were much a larger). Any advice on how to handle?

My background is in tech transactional. I joined a cybersecurity SaaS startup at the end of last year and now also handle more generalist matters in addition to all things commercial-related. Forgive the basic question but can you contract around state statutes? For ex, customer wants to insert state contractor payment statutes and have that state law govern. I’m assuming the way around this is to have another more preferable state as choice of law?

Considering taking a position with a small-cap in the US trying to build their legal department. The title is standard “counsel” although the work would be with the senior leadership team and reporting to the GC in Europe. How reasonable is it to ask for a bump in title - Senior counsel or Head of Legal, US? If it matters, I am a 6th year and have been told that I will be expected to hire a junior or paralegal as we build up.

For those working in house, how much “from scratch” document drafting are you doing vs. reviewing and revising “outside documents”. For example, if your company wants to enter into a joint venture company with another entity, are you drafting the company agreement “from scratch” or is it based on internal forms? Or are you getting outside counsel to do it?

What’s a fair expectation for my first raise? Publicly traded co with ~2500 employees. I’ve been doing litigation with the company for almost 3 yrs and have only had a 2% cost of living raise so far. Graduated in 2014. Base comp is $127.5k in the Philly area. I see salaries all over the place in this site and it’s hard to tell whether mine is competitive.

I have one pro bono case that I kept when I left my firm to go in house. It’s a matter completely unrelated to my company and I have malpractice insurance through the nonprofit organization associated with the case. I’ve made clear to my client that I’m repping this client in my personal capacity. No one has asked me specifically about pro bono stuff at my company - if I know there’s no conflict of interest, is this something I should disclose? To whom should I disclose this?
