Do ECVC attorneys have good exit options? What are the best in terms of pay, work-life balance, etc.?

Depends on what type of exit you are looking for… do you want to work at a startup —> Yes, a bank —> no. But it’s all relative.

The thing about exit options nobody told me is they are a lot more random than most people care to admit. Right place, right time, right connection, etc. Luck also helps a lot.

Best thing you can do is build relationships with clients/people in the space you want to work in.

I think in general, yes we usually have better than average exit opportunities than most practice groups, including M&A and cap markets. Funds, IP transactions, and privacy also have good exit opps from what I’ve seen, although those will be more limited to roles doing that exact type of work. Agree with C1 that it can be random, but in ECVC there are a few helpful factors: (1) you will have been serving as outside counsel to companies doing the types of things that you will probably be expected to do in house, (2) you tend to work frequently with the same clients over long periods of time (versus say M&A or specialists where you only work w them when directly needed and then disappear), which frequently can turn into a job offer from a client, and (3) ECVC is a generalist practice so you get a little bit of experience in lots of areas, which is attractive to companies.

For startups are we talking series D and above or would those companies prefer a cap markets attorney to carry them through an IPO?

It’s fairly common for companies to IPO without a dedicated SEC attorney and will hire one shortly thereafter. They will rely on outside counsel / in-house corp generalists to get through the S-1.

For in-house counsel roles, does firm prestige matter? For example, would the fact that an applicant is from Sullivan & Cromwell vs, say, White & Case matter at all, or is it much more about experience/interview? When I moved in-house a year ago as a BigLaw mid-level, I took a 45% pay cut, far more than I was comfortable with (although I was fine with a 20-30% cut). Considering joining a small 50-person company as the only attorney (prior attorney is retiring). (I am currently in-house at a F50). For others who have done the same path, what surprises did you have when moving from a large company to a small one?

For example, it sounds like I should not expect a document management system, based on a prior post in this bowl. I’m guessing expenses like state bar fees and cell phone are not reimbursed.

Any advice on things to expect (or not expect)?

Have interviews set up at FAANG co and getting good signals, for a position that was posted widely (all across US) but not remote. Haven’t broached the subject of location yet. Would you (1) early on clearly state that you’re not open to relocation but that you would be open to visiting a big office once or twice a month; (2) not say anything now and wait to get an offer and ask for an exemption; or (3) something else?

NFW- I just had a good laugh. Earlier today I was on a video conference call reviewing a Private Label Agreement template with a larger company who wishes to brand label products we develop and manufacture. We came to a very one-sided provision and my sales VP stated “for this one, how can we just say ‘hell no’ ...nicely?” The other person on the call said we can replace the wording with just NFW (no f@$* way) and I said “I will have to add that to the defined terms section so it’s clear”

For those working in house, how much “from scratch” document drafting are you doing vs. reviewing and revising “outside documents”. For example, if your company wants to enter into a joint venture company with another entity, are you drafting the company agreement “from scratch” or is it based on internal forms? Or are you getting outside counsel to do it?
