On one hand, it’s easier to get the 2nd in house role after the first. On the other, that’s a pretty low offer but it could just be the industry/region you’re looking at. I’m a 6th year in pharma in NJ at $225k base with 25% bonus and first equity grant next year for reference.

I'd ask if they could go up to $150k in base and take whatever they come back with.
I went in-house this year with very similar #s: 5th year, $150+15% but no equity, Midwest. I got no money through salary negotiations but did get a 4th week of PTO, for reference

Never take the first offer. They are expecting a counter
House counsel for an insurance company is a position that doesn’t last very long. Unless you are appearing in court. Otherwise a wasted position.

How are you liking it so far? Is the split more one way over the other?
You’re near the top of the pay range & admittedly aren’t at the top end of the qualification range—so I’d say you’ve got a good offer (for that job). They also don’t want to price you out of the overall range for that role.
However, there’s nothing wrong with negotiating/countering. But you need a reason for them to come higher. What else do you bring that would make them move the needle?
And do you have a plan B? Such as asking for a sign on bonus—something to maybe close the gap a bit between where you are now & their offer. That also gives you a year to prove you’re worth more while putting some extra money in your pocket now.
This is a pretty low offer, and the lack of equity is strange. Could you look through their filings to see if they offer employee stock or stock purchase plans, and try to get some equity?
Outside of FAANG and Silicon Valley, my experience is that you get equity grants at public companies starting at the AGC level.
