I spent years in HK doing capital markets. Now I’ve lateraled to a different firm in the USA as a midlevel, and I feel woefully unprepared. Lots of SEC forms I’ve never seen before and docs and transaction types I don’t know. Looking at them, they don’t seem too different from the prospectuses I used to draft, but there still are different reqs, like with ancillary docs. Does anyone have any tips to train myself up (like resources to read) or has done a similar move like me and has suggestions?

Review the forms themselves and the regulations the forms reference. Your firm should have a subscription to TheCorporateCounsel and to Practical Law, both of which are useful for understanding the disclosure requirements.

Serious billing question - if during the course of the day, you first receive an email from Client A at say 11:10am and you read it, you then respond to it at 12:20pm. You get another email at 2pm from Client A and respond immediately. The next email comes in at 4pm, you read it and respond only at 4:30pm. None of the email responses take more than 3-5mins. You are working on matters for other clients at all other times during the day. How much are you billing for Client A?

People who don’t submit their time daily, how do you remember what you did and for how long? I’ve always just submitted each timer as soon as I finish a task—“call with x re y” really doesn’t take that long even if I’m busy, and if I don’t do it immediately I’ll forget all those little I did in the morning by the time I go to bed. No shade at all to those with different systems, just genuinely curious because I see a lot about catching up at month end on here and I have no idea how that works??

PSA - We are headed into a self-imposed economic slow down. Now is not the time to lateral but if you do, I would make sure you are at a recession-proof practice or firm. The top law firms will be okay (they always are) but if you are part of a larger group of associates with no work, you are likely to be axed. Latham did it in the 2008 and 2011 and it will happen again. If you are an associate or really anyone but a rainmaker, you are expendable.

How do you deal with unresponsive summers? I’m a junior and overseeing my first project with summers (5 in total). Two are unresponsive and do not acknowledge my emails.
