Random/odd question if anyone knows the answer: if you are a corporation in state A (California), can you operate as a sole proprietorship in State B (Massachusetts), and have your website list the name of your company and both states in which you operate? Asking for civil procedure purposes in Massachusetts and wondering if the State A Corp is an unregistered foreign Corp in State B that I can tattle on. Polling the audience!

You need to know two things: what constitutes doing business in MA (look up CTCorp's free guide) and whether the activity in MA requires registration on a corporate or tax basis based on nexus and revenue thresholds.

The mere presence of a website accessible in MA is not dispositive.

It’s a wedding company…performing wedding services in MA. Should have mentioned that part too, haha.

They have stopped responding to emails and calls. I only have a California address to send a lawsuit to. Only route to go now is reporting to AG and Sec of St who can then prevent them from operating in MA and charge back fees for years operated as an unregistered foreign Corp. I can hire a PI, or the mafia I suppose to find them…but ones expensive and the other illegal.

Sole proprietor? Some dummy who’s got unlimited personal liability? Jackpot!!

Right, which is why I just want to ruin their business now

How do firms calculate how much parental leave to provide, either paid or unpaid. Or do they just pick a number, like “yeah they can get to know their kid in a few weeks and I couldn’t possibly have that attorney out for 12 weeks?” I’m at a small firm, no FMLA or state requirement. We get four weeks paid and four weeks unpaid. Would like to push for more but not sure how to argue costs side of it.

I’m so bad at writing the background/ facts section for briefs… it always gets heavily edited and no one is giving me constructive feedback other than “advocate more”. In contrast, my legal argument section is generally without edits. For context, first defense lit job post appellate clerkship. Is this normal?? Any tips for getting better other than “advocating more”?
