Received a verbal offer today where the HR person provided the base salary and bonus and said equity would be outlined in my written offer letter. I did not negotiate the salary and base on the call but said it generally seemed in line with my expectations. I’m fine with the numbers, but after reading the posts in this bowl, I’m wondering if I did myself a disservice by not negotiating. Did I miss my opportunity to negotiate, or can I try after receiving the written offer?

Can anyone help me wrap my head around this post Series C start-up equity offer? It’s an IP director position, the the base is $170 with 10% bonus (both lower than I was expecting). There’s also an equity component: 0.15% of current fully diluted equity. This equates to about 30000 shares at a strike price of $2. They also indicate the preferred stock price is $6 and preferred stock equity is $188k (whatever that means). They are in the middle of a new financing and valuation round.

I have one pro bono case that I kept when I left my firm to go in house. It’s a matter completely unrelated to my company and I have malpractice insurance through the nonprofit organization associated with the case. I’ve made clear to my client that I’m repping this client in my personal capacity. No one has asked me specifically about pro bono stuff at my company - if I know there’s no conflict of interest, is this something I should disclose? To whom should I disclose this?

For those working in house, how much “from scratch” document drafting are you doing vs. reviewing and revising “outside documents”. For example, if your company wants to enter into a joint venture company with another entity, are you drafting the company agreement “from scratch” or is it based on internal forms? Or are you getting outside counsel to do it?

Any tips for moving up in a medium/large-sized legal department, aside from switching companies? I work in a collegial environment with plenty of opportunities to create more value, but the management level is fairly crowded and it seems the clearest path to get one of those roles is to be hired into it. Very specific to retail and/or hospitality in-house roles: has anyone found a good solution for predictive scheduling? Our retail division has one set of software for scheduling and one for payroll, and neither of them can handle predictive scheduling compliance issues unless they’re used for both the scheduling and payroll functions. I’m coming up empty on ideas for them to bridge the gap, but I’m also new to my compliance counsel role, so I would be overjoyed if anyone has suggestions.
