Can anyone help me wrap my head around this post Series C start-up equity offer? It’s an IP director position, the the base is $170 with 10% bonus (both lower than I was expecting). There’s also an equity component: 0.15% of current fully diluted equity. This equates to about 30000 shares at a strike price of $2. They also indicate the preferred stock price is $6 and preferred stock equity is $188k (whatever that means). They are in the middle of a new financing and valuation round.

All I ever hear about is hiring- why are we not going after partners for overselling? While I know we have all kinds of data/apps in our firms to try to make proposals and scoping a bit more evidence based, I think most partners have some gut feeling of how much capacity the firm has and just sell based on that. It seems like there is no systemic effort whatsoever to see if we can do the work we’re selling with the resources we have, which then leads to impossible deadlines and burn out.

Entered to the company as its first in-house counsel

The legal issues were previously handled by the CFO with help of outside counsel. 1st year was hard because he was territorial about legal matters, but I reported directly to the board so it wasn't a true issue

2nd year: The CEO retires, and the new one decides to put me under the CFO in the organigram. Now I'm back to square one bc this guy cuts me off any relevant issue!

Would this be a bad time to switch positions for the purposes of career progression and higher compensation? My current position seems stable but no room for growth and also a disorganized mess, not a very mature legal department. On one hand I’m the only that knows what they’re doing on the other hand i would like to go somewhere where I can learn more how a mature legal department should operate within a legally savvy business. But seems like a risky move in this economic climate?

Has anyone here been a company’s first in house hire, or been involved in the decision to make a first legal hire? One of my outside counsel clients (high growth start up ~4 years in) has reached out to me about hiring a GC and it potentially being me. I haven’t seen a client through this transition and setting aside the question of if I want to make the move, I wonder whether they’re actually at the point where they really need someone in house. In house counsel in big tech. 14 YOE. Junior manager of a small team. I've been advising senior leadership for some time and find myself more interested in business strategy than legal (or beyond legal). I also want to better understand organizational systems. I've seen continuing education business courses or legal leadership programs, but I'm wondering if an executive mba would be better. Time and cost are considerations. Anyone have experience here or programs you'd recommend? Am I crazy?

9th year and just accepted an in-house position at a client. I was really excited until I gave notice. I am now struggling quite a bit and feeling overwhelming anxiety and sadness about leaving. If I’m being honest, I am also a bit disappointed that no one has tried to get me to stay. I’m not sure why I care, though, as I won’t stay regardless of the counteroffer. Has anyone been through this? Any advice for working through my feelings about the transition?
