CMAAS Folks: What type of work does CMAAS typically take on? Is it primarily transaction, public readiness (Carve outs, IPOs, SPACS, etc.) and technical accounting matters or are there also less accounting related areas such as finance optimization/consulting type roles?

All of the above. Digital finance is a growing part of the practice. If you’re technical, you can provide the accounting perspective on transaction structuring and help craft the mix of rights and instruments that go into a deal eg, client wants to buy 30% of a company and not report an equity method investment > you build a strawman and present to bd who then negotiates a preferred with those terms

Very small group within CMAAS does this and typically requires significant skill set - especially at a higher level - to think on your feet and see (1) where the potential risks are and (2) have enough of a skillset to formulate a solution around the guidance without changing the business goal of the transaction.

You can develop it over time over as clients ask, “So my biz dev people are looking at this weird transaction. Can you look at the term sheet / tax structure deck for red flags?” Sometimes, they highlight a specific risk (e.g., consolidation). Other times, super open ended. It’s challenging work I enjoy, but there can be downsides:
- fact patterns can change quickly so you have to be agile (and willing to accept some frustration when you have to start over; and
- its risky given things can move fast and getting something wrong can happen - especially if you’re ill equipped for the matter at hand and get ‘over your skis’

Can anyone help me wrap my head around this post Series C start-up equity offer? It’s an IP director position, the the base is $170 with 10% bonus (both lower than I was expecting). There’s also an equity component: 0.15% of current fully diluted equity. This equates to about 30000 shares at a strike price of $2. They also indicate the preferred stock price is $6 and preferred stock equity is $188k (whatever that means). They are in the middle of a new financing and valuation round.

Any advice on how to request a 20% raise? This is my first career out of college. I signed my offer letter knowing that I was being underpaid by 10%, as per the posted position salary. My 1-year appraisal is close and I would like to request 20% based on an increased workload; I would also like to make up for being underpaid my first year.

My dilemma: Many companies only pay up to a 4% raise. However, that will not cover much in this economy, and I would still be still underpaid.

Asking for advice- I’ve realized consulting is not the path for me long term and have had plans to quit. I’m currently staffed on a project alone and feel lost as I don’t have much experience in this line of work. Deadline is approaching and I have voiced my concerns to finish in time.
