Does anyone here have experience working in-house at for-profit and non-profit organizations? Aside from governance, how would you compare and contrast the two? Do you think it's hard to adjust to non-profit life if your only experience has been in law firms and for-profit companies?

I’ve never worked in a NP but my partner has. And I can tell you the kinds of troubles/issues in the NP space are things that would never come up in typical law firm or corporate settings. The biggest is obviously budget. In my firms and for profit companies we would blow hundreds of thousands in marketing, events, conferences, training. There’s always a concern for budgets but the margin is so much greater. In the NP setting they really are working with such small amounts and every little thing they do is so heavily scrutinized and has to be approved at the highest levels. It frustrated me to hear that my partner’s $10k company wide training was rejected due to lack of funding when my company spent three times as much on our team lunch. It’s like going from a prestigious university with a huge endowment to a small struggling inner city public elementary school. What I also know is the folks in NP absolutely work their tails off and truly are doing more with less. There’s a lot of great work going on inside NPs and if you believe in the work being done you might be quite fulfilled even though you may lack the funding to truly make an impact in the same way.

Has anyone who's worked in HR, Finance, or another role with visibility to compensation information been able to use that as leverage for salary negotiations?

To put it bluntly, I know certain people with less experience and a lower performance rating are getting paid more than me due to my role working with payroll data. I suspect this was due to the fact that I did not counter offer when I accepted this role, which was a few months ago, and now I regret it.

Considering taking a position with a small-cap in the US trying to build their legal department. The title is standard “counsel” although the work would be with the senior leadership team and reporting to the GC in Europe. How reasonable is it to ask for a bump in title - Senior counsel or Head of Legal, US? If it matters, I am a 6th year and have been told that I will be expected to hire a junior or paralegal as we build up.

Would love some advice / thoughts. I went straight from law school to a corporate legal department in house for an asset manager. They like “home grown” talent and I “be worked hard and risen relatively quickly (AGC in 9 years). I work hard and get a lot of complicated deals done (structured products and private funds). I can’t shake certain people (in compliance department mainly) thinking I don’t have enough experience to do what I do because I didn’t come from a law firm. Any advice?

How far do you require depts be with negotiating commercial contract terms before your legal review? I’m talking routine low value and risk contracts (e.g., vendor services), where Legal terms won’t kill the deal. My clients blindly forward contracts. I say “are you sure this term is ok?” And often get “no.” They’re surprised because they never read them. Checking the temp to see what others experience, what might be normal. I feel contract training in my clients’ future...

I’m in big law and on the cusp of making the jump to in-house. It sounds like the company I just interviewed with is getting ready to make me an offer. It’s definitely going to be a pay cut coming from big law but I do get some nice equity in the company. Is the jump worth it? I’m so burnt out by big law and this seems like an awesome opportunity to help shape a newish company. Any tips on how to figure out if this is the right move for me?

When I moved in-house a year ago as a BigLaw mid-level, I took a 45% pay cut, far more than I was comfortable with (although I was fine with a 20-30% cut). I took the job because it was a great role and I was focused on making the jump in house and developing the skills I wanted, which required me moving away from my firm practice area. Now that my year-end review is coming up, how do I ask my company for a significant pay raise (not just a 2-5% inflation-matching raise)?

What’s a fair expectation for my first raise? Publicly traded co with ~2500 employees. I’ve been doing litigation with the company for almost 3 yrs and have only had a 2% cost of living raise so far. Big law specialist with an offer to be the CFO and GC of a 250M AUM hedge fund. All in comp would probably be ~$300k, so about $100k less than where I would be in big law (including bonus). Potential to get involved in the business side, but most likely more of a back office role (I would also be the only legal hire - main goal would be cutting outside legal cost and streamlining processes). Does this sound like an attractive offer? What exit options would I have?

NFW- I just had a good laugh. We came to a very one-sided provision and my sales VP stated “for this one, how can we just say ‘hell no’ ...nicely?” The other person on the call said we can replace the wording with just NFW (no f@$* way) and I said “I will have to add that to the defined terms section so it’s clear”
