Got an offer for SE III at a large tech company. Product I'd be working on interests me and I think I could grow more than in my current role.

Currently I make 180k base and have ISO/RSUs @ startup (60k/yr worth on paper, but won't be worth anything for a few years, if at all).

The offer is:
Base: $166,500
Target Bonus: 10% ($16,650)
RSU: 120k total (30k/yr)

Thoughts on offer? Should I counter?

Additionally there's a yearly target RSU bonus about equal to the cash bonus. Thoughts? 4.5 YOE

I'm in finance/tech FPA, looking to go back to the defense industry for a 25% increase in TC. But wanted to see if I should leverage the new salary with current company to see if they'll match.

Folks, one doubt..... I was hired as a senior consultant in dec 2021. I did not nominated for grade change till now. Will they automatically consider me for grade change or do I have to expicitely talk about it with PC ? Also if grade is changed, how is the impact on salary considering the parity check ? 1.Interviewer didn't ask any technical questions. I had only one interview.
2. Evening itself I got call that i was selected and ready to discuss salary.
3. Last year it was under IT raid because of pro particular political party
