How do you deal with frustrating OC? LBO transaction. We're seller's counsel, obviously interested to close. OC is painfully slow. We're sending drafts that reach a month old w/o comment. We've pushed closing back at this point by a month, still indefinite (LOI signed in 22!). We trade drafts w/ OC, settle on a material point, 2 drafts later they reopen it on no new info (literally said they "forgot" to comment on it).

How would u deal?

Curious as to how many deals at once is typical for a first year associate to take on (M&A, mostly private equity clients). Deal size is lower middle market and I’ve worked on deals ranging from $1-$110M. 2 deals at once is plenty for me, but it seems like my peers are able to take on more than that at once and still do fine. Maybe I’m just a slow learner/out of my league at the big law firm I’m at.

My boss is asking me to “reconsider” the way I approach a client… I am in charge of this annoying corporate maintenance thing that we do for a client (I.e., making board of directors meeting to comply with some regulatory reporting required. I always end up missing deadlines. How would you reply?

Do any real estate lawyers out there know of/can direct me to a ROFO agreement to purchase commercial property? I’m working on one now (but using a ROFO to purchase equity interests as a basis) and would like to see what other people are doing. Finding a good one has been hard, as this kind of thing isn’t always required to be filed with the sec and every search I’ve done basically pulls up garbage. What's the biggest salary jump you've made in CTL, and how did you do it?

Working on a deal where buyer's side keeps on insisting on a POA to effectuate all actions of Seller under the agreement, including executing documents. I keep striking this and commenting that this is not standard. Has anyone dealt with this? I am okay with a limited POA based on the industry of the Seller, but not this general POA.
