Currently controller for a $120M PE backed company. Interviewing for a Director of Accounting role for a $1B PE backed company. Would be almost fully remote. Probably around 30-40% salary increase ($40k+). Currently have equity that would cash in upon a change of ownership in about 2 years (likely worth upwards of $200k). Currently going to school for my cannabis certification but I rarely see any jobs that offer cannabis research. I currently work in a lab/greenhouse environment and would love to continue that line of work with hemp/cannabis. Curious as to how many deals at once is typical for a first year associate to take on (M&A, mostly private equity clients). Deal size is lower middle market and I’ve worked on deals ranging from $1-$110M. 2 deals at once is plenty for me, but it seems like my peers are able to take on more than that at once and still do fine. Maybe I’m just a slow learner/out of my league at the big law firm I’m at.

Let’s see who remembers their MPRE. Just found a position at my dream firm I would like to interview for; however, I was also just placed on a deal where dream firm is the opposite counsel. OC has an issue with a financing term that deal teams worked out. Is it unethical to ask deal teams to discuss these terms and instruct us how to proceed? These seems to be business term where counsel can’t work out the differences, without business agreeing.

Do any real estate lawyers out there know of/can direct me to a ROFO agreement to purchase commercial property? I’m working on one now (but using a ROFO to purchase equity interests as a basis) and would like to see what other people are doing. Finding a good one has been hard, as this kind of thing isn’t always required to be filed with the sec and every search I’ve done basically pulls up garbage. Also, are there any provisions you’d consider absolutely crucial from the owner’s side?
