Any suggestions on resources for corporate contract drafting? I have been largely responsible for employment matters and basic contracts. Starting to work on buy/sell of goods and services; not huge but also not employment agreements. Looking for refreshers... been a while since law school and the bar. Thanks

Practical law is surprisingly strong. Firm data base of other attorney’s work with redlines if possible. Working with contracts is a good book but kind of high level.

Tina Stark has a good book called Contract Drafting.

ABA has a book called the Tech Contracts Handbook.

PLC is also great.

I used west law's practical law for a good start bar to draft agreements or find clauses. My firm has a large database of form contracts that we have to adjust to fit different purposes.

Practical law really is good. ABA has another solid guide called drafting for corporate finance if you're close to that area.

Currently controller for a $120M PE backed company. Interviewing for a Director of Accounting role for a $1B PE backed company. Would be almost fully remote. Probably around 30-40% salary increase ($40k+). Currently have equity that would cash in upon a change of ownership in about 2 years (likely worth upwards of $200k). Change of industry from restaurant to CPG. Thoughts?

Currently going to school for my cannabis certification but I rarely see any jobs that offer cannabis research. I currently work in a lab/greenhouse environment and would love to continue that line of work with hemp/cannabis. Yet again no luck whatsoever, just finding jobs as budtenders or running a dispensary. Does anyone know where I can find research-based cannabis jobs? I have a degree in horticulture with lab experience.

Curious as to how many deals at once is typical for a first year associate to take on (M&A, mostly private equity clients). Deal size is lower middle market and I’ve worked on deals ranging from $1-$110M. 2 deals at once is plenty for me, but it seems like my peers are able to take on more than that at once and still do fine. Maybe I’m just a slow learner/out of my league at the big law firm I’m at.

Do I bring in my recruiter or reach out through connections? Is using a recruiter beneficial to me, or am I better off on my own? How does their fee play in to what I could get as a package?

Let’s see who remembers their MPRE. Just found a position at my dream firm I would like to interview for; however, I was also just placed on a deal where dream firm is the opposite counsel. But the deal won’t close until next year, so I doubt the position will be around if I wait that long. Any advice?

I’m working on one now (but using a ROFO to purchase equity interests as a basis) and would like to see what other people are doing. Finding a good one has been hard, as this kind of thing isn’t always required to be filed with the sec and every search I’ve done basically pulls up garbage. Also, are there any provisions you’d consider absolutely crucial from the owner’s side?
