How far do you require depts be with negotiating commercial contract terms before your legal review? I’m talking routine low value and risk contracts (e.g., vendor services), where Legal terms won’t kill the deal. My clients blindly forward contracts. I say “are you sure this term is ok?” And often get “no.” They’re surprised because they never read them. Checking the temp to see what others experience, what might be normal. How long did it take you to find the right position the first time you went in-house? I am 5 months into it and regretting turning down the (lowball) offer I got a couple months ago.

Can anyone help me wrap my head around this post Series C start-up equity offer? It’s an IP director position, the the base is $170 with 10% bonus (both lower than I was expecting). There’s also an equity component: 0.15% of current fully diluted equity. This equates to about 30000 shares at a strike price of $2. They also indicate the preferred stock price is $6 and preferred stock equity is $188k (whatever that means). They are in the middle of a new financing and valuation round.

Anyone have insight on how to move in-house at EY?

Would love some advice / thoughts. I went straight from law school to a corporate legal department in house for an asset manager. They like “home grown” talent and I “be worked hard and risen relatively quickly (AGC in 9 years). I work hard and get a lot of complicated deals done (structured products and private funds). I can’t shake certain people (in compliance department mainly) thinking I don’t have enough experience to do what I do because I didn’t come from a law firm. Any advice?

Is there anything I should ask before starting that wouldn’t already have been covered in the interview? Any product counsel for AI-related companies here?

Would you strongly advise against going in-house right after a state court clerkship? (No law firm experience in law school either). I don’t know if I want to become an in-house forever. Would it be difficult to get a law firm job at a later time?
