Only form in one state and then register as a “foreign entity” in the other. Don’t form the entity in two states (unless you are creating a holding/shell company, but make those 2 different entities). If you’re looking for big money investors later, forming the entity in DE is very common. Then in NV you would register your LLC as a “foreign entity”. Secretary of state/corporations websites will give you more information on the above.
This is odd. I don’t know what kind of business you’re in. My company owns property, so each property is its own LLC organized in the state where property is located. I also have a DE S-Corp, which is basically a holding company, where I’m the sole shareholder that partners in some of the other LLCs and other ventures. Why your CPA is having you have two LLCs is a mystery to me.
Did the CPA say why? Forming two entities would be an uncommon practice. There are some extremely limited circumstances where it might make sense, but it seems unlikely that you would fall into one of those.
If you'd like to learn more about Delaware LLCs or need help forming one for your business, feel free to message me!
Why even register in Wyoming or Delaware. Our attorney said that isn’t really necessary.
Hey, never got around to following up until now...just wanted to say thank you for all of the replies!
I think I originally misspoke, or misunderstood. He probably meant one form in one state (Delaware or Wyoming) then register in my home state (Nevada).
Still noodling on this. Situation is getting more complicated, as I realize now that I’ll have to move in the next 10 months to another state, but there’s no way to know until this March. (Wife is applying to medical residency programs. It’s a dice roll.)
