AT&T announced last week they had a breach impacting all its over 110M wireless customers and others.

They filed a notice with the SEC under the new cyber rule. They said the event was not material to the company or its financial condition.

How is that the case if the disclosure was delayed twice by the DOJ for national security reasons? If this is not “material,” what is? What do you all think?

I believe that when they talk about materiality, they are talking about it from a financial perspective, in this case there was no direct financial loss from the breach itself, so most of the financial loss will be from lawsuits where they will have some mitigation from cyber insurance.

Delaying release can be done for any number of reasons.

In the UK we do the same thing depending on who we suspect is the actor or how large the impact is.

For large breaches most companies will now work with agencies to manage the flow of information and impact analysis
