Version control is a good thing! Have you ever worked with nightmare partners?

Google docs is good for co-editing, but I will say that sometimes I like the version control abilities that iManage provides. Much less likely to have version control issues.

Can vouch for Teams! Works perfectly! Cannot believe simultaneous co-editing is not standard market practice across all firms yet, and at some firms clients apparently still pay for human version control

We use Office 365 now. Not without its flaws, but overall a smoother experience.

Teams actually has a great feature for this!

New Jersey partnership question.

Partnerships need to use market sourcing for purposes of calculating NR withholding tax (though NJ doesn't even call this withholding anymore).

However, for purposes of calculating the NJ distributive share of income, you apply Gross Income Tax (personal income tax) rules, which is 3 factor and includes COP.

If I end up with 0% apportionment under GIT and 10% apportionment under CBT (withholding tax), the partnership pays tax upfront but NRs get 100% refund?

-One LLC, so only one PPM
-Multiple investors that can be onboarded anytime
-Multiple investments that investors can determine whether or not they want to invest in
-One K-1 per investor based on their investments and income
-Ability for the Sponsor/Fund to invest directly, indirectly and in equity, debt, Pref, etc.
To me this seems extremely cumbersome and would require multiple classes of (cont’d)

Curious as to how many deals at once is typical for a first year associate to take on (M&A, mostly private equity clients). Deal size is lower middle market and I’ve worked on deals ranging from $1-$110M. 2 deals at once is plenty for me, but it seems like my peers are able to take on more than that at once and still do fine. Maybe I’m just a slow learner/out of my league at the big law firm I’m at.

Why provide redlines against the original draft instead of the last turn when sending drafts to opposite counsel?! This profession makes no sense.

Working on a deal where buyer's side keeps on insisting on a POA to effectuate all actions of Seller under the agreement, including executing documents. I keep striking this and commenting that this is not standard. Has anyone dealt with this? I am okay with a limited POA based on the industry of the Seller, but not this general POA.
