For some reason I’m drawing a blank on terminology: when an LLC member takes on the responsibility for winding up, what is a good title? “Wind-Up Member” sounds stupid. Liquidating Trustee I just thought of as I am a bankruptcy/restructuring lawyer (among other things)—but I do not want to call anyone a trustee here. Any suggestions?

Delaware LLC Act says “Liquidator”. Read the statute. Operating agreement should use the same terminology

Good point. While this is not a DE entity, I’ll search the LLC law as it exists in Wyoming to see if that term is used. Thanks for this!

But the members can delegate their duties especially if the managing member quits. Liquidator might work. After a a more robust google search I’ve seen “Wind-Up Member” in the context of a pension scheme.

-One LLC, so only one PPM
-Multiple investors that can be onboarded anytime
-Multiple investments that investors can determine whether or not they want to invest in
-One K-1 per investor based on their investments and income

Working on a deal where buyer's side keeps on insisting on a POA to effectuate all actions of Seller under the agreement, including executing documents. I keep striking this and commenting that this is not standard. Has anyone dealt with this? I am okay with a limited POA based on the industry of the Seller, but not this general POA.

Junior associate here, should I ask for more money if my firm is about 10-15 percent less hours but about 30 percent less pay? The gap will never be closed to the top pay scale at my firm but when I decided to come to this firm the pay difference was about 15 percent and not 30. So I had 3 deals scheduled to either close end of May or mid June which were all pushed to end of June/beginning of July.
