Outside counsel has been prepping company witnesses for a trial in August. It is my subject area so I am supervising outside counsel. I did not, however, choose the counsel. He is doing a really awful job. Co counsel is better, but not great either. 1: EY - FDD, home city, very good $$ for FDD

2: PwC - post-merger integration, DDV team (essentially M&A Consulting) - bigger city, always been keen to move

Coming as a Senior in Audit, with recent FDD exposure (2 deals, obviously not much). I was looking for something more than just number crunching, wanting a mix of quant / quali / strategic work. M&A Advisory or a Corp Strategy role is where I'm looking to end up long term.

Good book recommendations on the basics behind M&A deals and the DD process? Asking for a friend who is looking to start a search fund and has operational experience but no finance.
