I work with boards all the time. The most annoying directors are the ones who talk just to talk but don’t actually contribute anything. Best advice is to listen carefully first, ask follow up questions, and then offer an opinion. Also remember that you’re a director, not the company’s attorney, when you’re on the board. There’s conflicts issues if you start giving legal advice like you rep the board.
I have never been a director but I have had an important lessons learned from a promotion. If you plan on talking about your goals as the new director, do so in a way that does not bash the previous director. Remember the importance of circle jerking

Ask for the organizational documents (bylaws, etc) and the last 12 months of meeting materials and minutes to give yourself background on how the board works.
Make sure you understand that you are a director and are not the board or organization’s lawyer.
And make sure you read the materials sent to you by the hard working board office folks. The Chair and Corporate Secretary will appreciate your efforts in reading the materials before every board meeting. You can indicate your preparedness by the questions you ask. Good luck on an exciting journey!
